  • This email marketing contract template is a general marketing agreement template between a service provider and a client.
  • This PDF email marketing agreement template is created to be comprehensive and easy to use.
  • An email marketing professional develops digital marketing campaigns to boost a client’s SEO.
  • A thorough and well-drafted email marketing services agreement is advantageous to both parties.

What is an Email Marketing Agreement?

An email marketing agreement details the services a marketer intends to provide to a client. A marketer is typically tasked with developing digital email campaigns on a web-based platform. A marketing professional could work as an independent contractor or for a contractor of a marketing agency. Marketing professionals or consultants are usually hired to work on a variety of social media campaigns. Email marketing professionals are well versed in SEO to boost a company’s digital presence.

Email marketing professionals create a digital marketing strategy into an email to be sent to prospective or current customers. Email marketing campaigns can turn a one-time user into a loyal consumer of a particular product or service.

Email marketers are hired across various industries to implement and execute a successful digital marketing campaign, such as:

  • Restaurants
  • Retail chains
  • Law firms
  • Small boutique businesses

Email marketing is so appealing because it is a modern, relevant, and useful way to inform a client’s customers. Many companies send updates or special offers via email to their customers as well.

Elements of an Email Marketing Agreement

The goal of your email marketing agreement is to be sure it is enforceable. A well-drafted contract means the terms and agreed upon services are clear and unambiguous. Here are the most essential elements of an email marketing agreement:

  • Parties– Both the service provider and the client should be at the top of the contract. It is also a good idea to include their location as well. A short description could also be included listing the product or services the client provides.
  • Scope of Services– The digital email marketing services offered should be detailed in the contract. The scope of services should clearly define what digital marketing campaigns the service provider is responsible for completing and list any relevant deadlines. If the client has deadlines, such as payment terms and due dates, that should also be included in the agreement.
  • Payment Terms – This is a vital part of the contract. The marketing professional must be informed of how much they will be compensated and when. Moreover, the client needs to be aware of the amount they agree to pay, and when payment is due. Moreover, the terms should coincide with the marketer’s deliverables and overall client satisfaction.
  • Confidentiality – In order for the email marketing professional to complete their task, they may need access to a client’s confidential and protected information. Both parties should honor and protect each other’s protected proprietary information or trade secrets throughout the duration of the contract. Oftentimes, a client will require the service provider to be bound to permanent confidentiality even after the contract is terminated. Marketing contracts or consultant agreements are usually paired with a separate confidentiality agreement or non-disclosure agreement (NDA).
  • Dispute Resolution – If a dispute between the party should arise, it is essential that the agreement has a dispute resolution provision. The provision defines each party’s obligations and efforts to resolve the issue prior to litigation.

Common Mistakes when Drafting am Email Marketing Agreement

The most important sections of an email marketing agreement are the definition of the services and compensation structure.

The scope of services provides the client’s expectations and specifics the marketer’s tasks and services they are to provide (the email marketing services).

The email marketing professional should carefully review the scope of services and verify all of the tasks and digital marketing projects they are responsible for. If either the client or marketer later decides to add any other services outside the scope of the agreement, either a new contract should be drafted, or an amendment can be added to supplement the original agreement. Any agreed-upon modifications or changes should be in writing and signed off on by all parties subject to the contract.

The other common mistake is not including the payment terms. The marketer can list their fees for their services along with any other expenses they may or may not be responsible for. Other payment structures may include an hourly rate or flat fee. All of which should be discussed, agreed upon, and included in the agreement. Implementing all of the above eliminates confusion on the terms agreed upon. Further, it provides a legal remedy should either party breach the fee provision of the contract.

Another essential clause to an email marketing contract is the process should there be a dispute with the invoice. It could include the client’s responsibilities if they have concerns with the invoice and their duties and deadlines to bring up such disputes.

It is important to remember that each state or local agency may have specific statutes, regulations, or other unique rules of what can and cannot be included in contracts. The goal of any contract is to ensure it is enforceable. It is important to consult with an attorney while drafting and finalizing your email marketing agreement to make sure you are protected.
