Intellectual Property Agreement Template
So you’ve created something useful; whether it be a type of process, copyright, trademark, coding, invention or mobile app you need to protect your intellectual property to control how its used, who uses it and limit the details from being shared in your industry. There are various agreements which can assist you in accomplishing these straight forward goals and still collaborate with your business partners or future clients. Here are the 3 most useful: Non-Disclosure Agreement A non-disclosure agreement (NDA) is one of many types of intellectual property agreements. It can limit the recipient’s ability to use the idea or invention. For example, the NDA could expressly state that the recipient can’t exploit the idea for themselves but can only use it to evaluate the idea. In this regard, you can pitch your idea to investors without filing a patent, trademark or other application if they are willing to sign an NDA. In many cases the NDA may contain a confidentiality clause. This is a clause in the agreement may require the recipient to maintain the secrecy of the information and to use it only for specific purposes. For investors and potential business partners, the specific purpose is normally “evaluation” of the idea or invention. It usually prevents them from taking the idea and incorporating it into their business or product line. An NDA with a confidentiality clause affords you the protection to share your concepts and ideas and retain the confidence to know you are provided an express limit on anyone that may review of analyze your intellectual property. Intellectual Property, NDA, Non-Compete Agreement (Download) This is an agreement where you may contributing your work to an investor or to a company and being compensated for your specialties. This could be in the form of cash stock for your contributing efforts. In this instance you may be doing work that contributes to the development of new ideas, concepts or business practices. This agreement will set aside any of your previous intellectual property from anything you develop jointly with the Company. You prior intellectual property remains yours but any joint IP becomes the property of the Company. There is a confidentiality clause, non-disclosure clause and a joint non-solicitation that mutually protect you and the company. Assignment of Intellectual Property (Download) There may be an instance were you are willing to sell, contribute or assign the ownership of your IP to a company for cash or shares of stock. Unlike the previous agreement, in this case you are specifically transferring your ownership. This agreement may often be tied to a Stock Purchase Agreement or a Bill of Sale. The terms of the purchase and transfer of the ownership of the intellectual property will be detailed in those agreements as well as the Assignment of Intellectual Property. As an owner of intellectual property, it’s important to know how to enforce and retain your rights. While there are people who will deliberately take someone’s intellectual property and use it as their own, in many cases, misuse can be chalked up to a lack of communication. To minimize the risk of IP violations, it is good practice to use formal documents like these.
